Data Processing Addendum

This Addendum applies when Your Media Inc processes personal information or personal data on behalf of the customer in connection with the SynAgent platform.

Roles of the Parties

The customer is responsible for determining the purposes and means of its use of SynAgent and for providing all notices and obtaining all consents and permissions required for its use of the service.

To the extent applicable law treats the customer as a controller, business, or equivalent primary responsible party, and treats Your Media Inc as a processor, service provider, or equivalent party acting on behalf of the customer, the parties agree to those roles for customer data processed through SynAgent.

Subject Matter and Duration

The subject matter of processing is the provision of the SynAgent platform and related support, security, analytics, communications, and integration services.

Processing will continue for the duration of the customer’s use of the service and for any limited retention period required for security, legal obligations, dispute resolution, backup integrity, billing, fraud prevention, or legitimate platform administration.

Nature and Purpose of Processing

Processing may include the collection, storage, organization, retrieval, analysis, transmission, transcription, summarization, routing, and deletion of customer data for the purpose of providing the SynAgent service.

This may include call handling, transcript generation, appointment workflows, summaries, CRM updates, support, product improvement, abuse prevention, security logging, and service administration.

Categories of Data

Customer data may include account data, business contact data, end user contact data, call metadata, call recordings, transcripts, scheduling details, call outcomes, support requests, integration data, usage logs, and other information submitted to or generated through the service.

Customer Instructions

Your Media Inc will process customer data only on documented instructions from the customer, unless otherwise required by applicable law.

The customer instructs Your Media Inc to process customer data as necessary to provide the service, secure the service, prevent abuse, perform support, maintain infrastructure, and carry out the documented features and functions selected by the customer.

Confidentiality and Security Measures

Your Media Inc will ensure that personnel authorized to process customer data are subject to appropriate confidentiality obligations.

Your Media Inc will maintain reasonable and appropriate technical and organizational measures designed to protect customer data against unauthorized access, loss, misuse, alteration, or disclosure. Such measures may include access controls, authentication controls, encrypted transmission, logging, monitoring, and vendor management procedures appropriate to the nature of the service.

Subprocessors and Assistance

The customer authorizes Your Media Inc to use subprocessors as reasonably necessary to provide the service, including providers for cloud hosting, telephony, communications, analytics, support tooling, transcription, scheduling, payment processing, and infrastructure security.

Your Media Inc will remain responsible for the performance of its subprocessors to the extent required by applicable law and contract. Taking into account the nature of the processing and the information available to Your Media Inc, Your Media Inc will provide reasonable assistance to the customer for responding to rights requests where applicable law requires such assistance.

Security Incidents, Deletion, and Audit Information

If Your Media Inc becomes aware of a confirmed security incident affecting customer data, Your Media Inc will notify the customer without undue delay, provide available information reasonably necessary to understand the incident, and take commercially reasonable steps to contain, investigate, and remediate the issue.

Upon termination of the service and on written request, Your Media Inc will delete or return customer data in accordance with the agreement and applicable law, except to the extent retention is required for legal obligations, security, backup integrity, fraud prevention, billing disputes, or enforcement of contractual rights.

Where required by applicable law or a written enterprise agreement, Your Media Inc will make available reasonable information necessary to demonstrate compliance with this Addendum, subject to confidentiality, security, and proportionality safeguards.

International Processing and Conflict

Customer data may be processed in jurisdictions where Your Media Inc or its service providers operate. The customer authorizes such processing provided that Your Media Inc uses measures reasonably designed to protect customer data and comply with applicable transfer requirements where those requirements apply.

If there is a conflict between this Addendum and another agreement between the parties, this Addendum will control with respect to the processing of customer data, unless the parties expressly agree otherwise in writing.
